The individual or entity subscribing to or using the research services
Regulatory Adherence
Both parties agree to comply with SEBI (Research Analysts) Regulations, 2014, and all applicable circulars, rules, and updates issued by SEBI or other competent authorities.
Onboarding and KYC
- The Client will provide all documents required to complete KYC.
- The Client authorizes the Research Analyst to retrieve KYC records from the KYC Registration Agency (KRA), where permitted.
Client Confirmation
- By availing services, the Client accepts these Terms (including future updates communicated by the RA).
- The Client understands the fee framework and the scope under Regulation 2(1)(u) of the SEBI RA Regulations.
- Services are for the Client’s own use; reliance on research is at the Client’s discretion and judgment.
Risk Awareness
- Investments influenced by research are subject to market risk; returns are not assured.
- Losses, if any, from investment decisions rest solely with the Client.
Research Analyst’s Declarations
- SEBI Registration No.: INH00001761 • BSE Enlistment No.: 6307.
- Holds and maintains required registrations, certifications, and qualifications.
- Services do not violate any laws, rules, or contractual obligations.
- Fee ceiling: Not exceeding ₹1,51,000 per annum per family of clients (statutory charges extra; applicable to Individual/HUF clients; not applicable to non‑individual or accredited investors).
- Recommendations are independent and do not ensure returns.
Fees and Payment
- Fees are payable per invoice or agreed amount within 2 days via verified modes (UPI/Net‑banking/Payment Gateway/cheque/online transfer).
- Cash is not accepted. Pay only to the RA’s designated bank account. The RA is not liable for payments made to third‑party accounts.
Client Responsibility
The Client acknowledges inherent market risks and assumes full responsibility for outcomes arising from the use of research services.
Market Risk and Performance Cautions
- Trading/investing in equities, derivatives, and other securities entails risk; returns are not guaranteed.
- Past performance does not indicate future results; recommendations may not always be profitable.
- The RA is not responsible for losses resulting from use of recommendations.
- Read all related documents carefully before investing.
- SEBI registration, RAASB recognition, or NISM certification do not guarantee performance or returns.
Conflicts and Disclosures
- The RA and its officers/employees shall not trade in securities contemporaneously subject to a recommendation.
- No known conflicts that compromise objectivity; any arising conflict will be disclosed promptly.
- No compensation is received from the subject company for a recommendation. Refer to detailed disclosures on the website.
Service Interruption and Termination
- The Client may terminate if the RA fails to provide research; termination is not valid solely due to lack of desired returns, trading losses, discontinuation without valid cause, or force majeure.
- If the RA’s SEBI registration is suspended/cancelled, services may be halted and residual fees refunded pro‑rata for the remaining subscription period.
- If suspension exceeds 60 days or registration is cancelled, fees will be refunded pro‑rata from the effective date to the subscription end date.
Grievances and Redressal

- If unsatisfied, lodge a complaint on SEBI’s SCORES portal: scores.sebi.gov.in.
- Consider SMART ODR for online conciliation/arbitration: smartodr.in.
- The RA aims to resolve valid service issues within 7 days. Follow the above procedure to avoid delays.
Fee Policy and Collection
- Fees adhere to limits prescribed by SEBI/RAASB for eligible client categories; statutory charges are extra.
- Fees may be taken in advance up to SEBI’s permitted period (currently up to one year), with proportionate refund for the unexpired period upon premature termination.
- Payments may be made via cheque, online transfer, UPI; cash is not permitted.
- Optional centralized fee collection (CeFCoM) may be used when the RA opts in.
Prohibited Assurances and Conduct
- Fixed/assured/guaranteed return schemes are prohibited and will not be offered.
- No guarantee of profits, accuracy, or risk‑free outcomes; opinions are based on available data and assumptions at publication.
Use of Research and Accountability
Investments based on recommendations are subject to market risk; no assurance of returns is provided. The Client remains responsible for decisions and outcomes.
Client Data and Security
- Keep contact details (email/mobile) updated at all times.
- The RA will never ask for credentials or OTPs of trading/Demat/bank accounts. Never share such details.
Confidentiality
The Client shall not share confidential research or content with third parties without prior written consent from the Research Analyst.
Good‑Faith Protection
No suit or proceeding shall lie against the RA for acts done in good faith under the SEBI (Research Analysts) Regulations, 2014.
Dispute Resolution, Severability, Force Majeure
- Disputes will be resolved via arbitration or other mutually agreed methods as per applicable law.
- If any provision is invalid/unenforceable, the remainder continues in force, preserving the essential purpose.
- Neither party is liable for delays/failures due to events beyond reasonable control (e.g., natural disasters, regulatory actions).
By subscribing or continuing to use the services, the Client agrees to these Terms and Conditions of Research Service.
